Terms and Conditions

This Client Services Agreement defines the rules for subscriptions, billing, data usage, and service delivery for AutoSocial.

Applies to all AutoSocial tiers

Introduction

This Client Services Agreement is between InfoTech Launch, LLC (AutoSocial) and the Client as identified in the Service Order.

  • By subscribing or paying any invoice, you acknowledge and agree to these Terms and Conditions.

Scope of Services

Services are provided per selected package and may include:

  • AI-based Digital Marketing
  • AI-based Reputation Management (Google & Yelp)
  • WhatsApp Marketing
  • AI Voice Agent & Chatbot Services
  • Website Creation, Optimization, and Enhancement
  • End-to-End System Integration
  • AI SMO (Social Media Management)
  • AI SEO (Search Engine Optimization) and GEO (GenAI Engine Optimization)

Technology and Upgrades

InfoTech Launch may introduce platform upgrades or integrations as technology evolves.

  • Additional costs will be disclosed and agreed upon in advance.

Client Responsibilities

You are responsible for approvals and accuracy of your business inputs.

  • Content approval is required before scheduled posts; no response implies approval.
  • All communication is routed through the assigned account manager.
  • Clients must keep business info updated for chatbot and voice agent accuracy.
  • Upgrades are immediate; downgrades require 30 days notice.

Payment Terms

Billing follows the cadence of the selected package.

  • Invoices are issued at the start of each month for upcoming services.
  • Payment is due upon receipt.
  • Auto-draft is preferred; credit card payments include a 3.5% processing fee.
  • Late payments incur a 10% late fee after five business days.
  • Additional services require written approval or will be billed separately.

Software, Website, SMO, SEO and GEO Practices

We follow industry-standard practices while recognizing that outcomes vary by market and platform.

  • InfoTech Launch follows industry-standard practices; no guarantee of error-free services.
  • Clients must review deliverables and report issues promptly.
  • Standard website terms may be provided; client is responsible for legal compliance.
  • No guarantee of business outcomes or uninterrupted uptime.

AI, SMO, SEO and GEO Terms

AI-assisted outputs may contain inaccuracies and should be reviewed before publishing.

  • AI outputs may contain inaccuracies; human review is advised.
  • Client is responsible for final approval of published content.
  • Data used for AI training may be anonymized and aggregated.
  • Both parties must comply with applicable laws and regulations.

Intellectual Property

Ownership and usage rights are defined by your plan and agreement.

  • All deliverables remain the property of InfoTech Launch unless agreed otherwise.
  • Basic/Advanced plans do not include source code or IP transfer.
  • Clients receive a non-exclusive, non-transferable license during the agreement term.

Privacy, Data and Integrations

Your data remains yours and is used only to deliver services.

  • Client data remains client property; use is limited to service delivery.
  • Industry-standard security and access controls are enforced.
  • Clients must ensure lawful access to third-party platforms.

Testimonials, Video and Media Release

Usage of testimonials or recordings is governed by your consent.

  • Client grants InfoTech Launch the right to use testimonials for marketing.
  • Video/audio recordings may be used for promotional materials.
  • Permissions can be revoked for future use, not retroactively.
  • No compensation is due unless agreed in writing.

Limitation of Liability and Indemnification

Liability is capped and indirect damages are excluded.

  • Liability is limited to fees paid in the prior six months.
  • No liability for indirect, incidental, or consequential damages.
  • Client indemnifies InfoTech Launch for legal or third-party claims.

Term and Termination

Termination terms protect both parties while closing obligations cleanly.

  • Either party may terminate with 60 days written notice.
  • Outstanding fees remain due upon termination.
  • InfoTech Launch retains IP unless otherwise agreed.

General Provisions

Standard contractual clauses apply to disputes and enforceability.

  • Parties are independent contractors.
  • Force majeure events are excused with notice.
  • North Carolina law governs; disputes in Union County, NC.
  • Invalid provisions do not affect remaining terms.
Acceptance

By paying any invoice or completing a subscription, you acknowledge and agree to these Terms and Conditions.
